Draft, pending legal review.
Provider Agreement
Version 2026-10-10-draft-1. This draft requires review by New Jersey legal counsel before launch.
1. Independent contractor status
You provide services as an independent contractor, not an employee, partner or agent of Home Happenings. You control how, when and whether you provide services, choose your hours and towns, and may decline work. You are responsible for taxes, required permits, equipment and expenses. No employment benefits are promised.
2. Services and conduct
Teach only the activities on your approved profile. Be punctual, respectful, truthful and attentive to the participant's preferences. Do not provide medical services, medication support, personal hygiene services or household services. Do not claim qualifications you do not hold. Report material changes to your application and any safety concern promptly.
3. Keep bookings on the platform
Do not solicit, accept or arrange bookings or payments outside the platform with any household you meet through it, during your participation and for 12 months afterward. This applies to repeat visits and additional activities. Proposed liquidated damages are [AMOUNT TO BE DETERMINED BY LEGAL COUNSEL] for each breach, only if lawful and a reasonable estimate of actual loss, not a penalty. No amount is currently approved.
4. Fees and payment timing
Home Happenings retains a 15% platform fee from the visit price. Households separately pay a disclosed $2.50 booking fee and a 10% service fee on each visit. Those fees do not reduce your 85%. Your hourly rate must be between $50 and $150 and approved before publication. Visits last 1, 1.5 or 2 hours. The household pays when booking. Refunds follow our cancellation policy: free up to 3 days before. Provider payment follows completed visits according to the payout schedule published before launch. Payments are not enabled in this demo.
5. Cancellations
One cancellation policy applies to every pro. A household may cancel free of charge 72 hours or more before the visit. From 72 to 12 hours before, 50% of the visit price is charged. Under 12 hours, the full visit price is charged. Any late charge is split like a visit: you receive 85% and Home Happenings keeps 15%. Notify the household promptly if you must cancel. Pending bookings must be accepted or declined within 24 hours and otherwise expire.
6. Background screening
Publication requires the five platform checks: online search, a conversation with our team, signed provider agreement, criminal background check through a screening vendor and national sex offender registry check. Screening requires separate authorization and disclosure. Where applicable, required consumer-report notices and opportunities to dispute information will be provided before adverse action.
7. Confidentiality and household privacy
Use household details only to deliver the booked activity. Addresses are available to the pro only inside confirmed bookings. Never share or ask for phone numbers, emails, street addresses, social media or off-platform payment details in messages. Messages are filtered to hide contact information at all times. Do not disclose household information or photos without appropriate permission.
8. Indemnification
To the extent allowed by law, you agree to indemnify and hold Home Happenings harmless from claims, liabilities, damages and reasonable costs arising from your acts or omissions, your services, your breach of this agreement or your violation of law. This does not excuse the platform's own liability where law prohibits doing so.
9. Limitation of liability and release
To the fullest extent permitted by law, Home Happenings is not responsible for indirect, incidental, consequential or punitive damages arising from platform use or independent providers' services. Any liability cap is [LEGAL COUNSEL TO DETERMINE]. You release the platform from claims arising solely from other users' independent conduct, except where prohibited by law. Nothing waives non-waivable rights or liability for fraud, gross negligence or intentional misconduct.
10. Insurance
No insurance policy is in place yet. Home Happenings is finalizing its coverage and will list exactly what it covers and what it doesn't before launch. No coverage, limits or insured status are promised by this draft. You remain responsible for your own conduct and any insurance obligations imposed by law. The platform does not verify provider insurance as one of its checks.
11. Suspension and removal
The platform may pause or remove a profile for safety concerns, inaccurate information, off-platform arrangements, breaches of these terms or legal requirements. Where appropriate, the provider may be asked to correct information or respond. Completed financial obligations and legally required notices survive removal.
12. Disputes and arbitration
Subject to legal review and applicable non-waivable rights, disputes will be resolved by binding individual arbitration in New Jersey, rather than court proceedings, except eligible small-claims matters and legally permitted urgent relief. Both parties waive class, collective and representative proceedings to the extent lawful. Arbitration administrator, rules, fees, notice procedures and any opt-out period are [TO BE FINALIZED BY LEGAL COUNSEL]. No arbitration clause in this draft is yet binding.
13. Governing law
New Jersey law governs this agreement, excluding conflicts-of-law rules, subject to applicable federal law and mandatory rights in other jurisdictions.
14. Changes and acceptance
Material changes will be disclosed before they take effect and renewed acceptance sought where required. Agreement version and each accepted checkbox timestamp are recorded. This draft does not become binding until legal review and final acceptance procedures are complete.
